This course will introduce the student to various facets of the planning and execution of a leveraged buyout transaction by a private equity fund formed to pursue such forms of merger & acquisition transactions. Structure and legal documentation for such transactions will be presented, and the business and economic rationale underlying the transaction and its various components will be discussed.
Professor Oetgen has more than 25 years of experience as an attorney specializing in such transactions -- first as a senior partner at a multi-national law firm with a primary focus on LBOs, and more recently as Chief Legal Officer and Managing Director of a San Francisco-based private equity firm.
