If you plan to avoid all human interaction after your legal education, this course is not for you. For anyone else planning to live, work, and participate in society, you will need to negotiate. This includes legal practice, where the need to negotiate spans all practice areas and arises on multiple fronts, from clients to colleagues to companies.

This course will review the fundamentals of negotiation concepts, but more importantly, practice them through a series of comprehensive role-play simulations for which you will prepare and receive feedback. You will learn how to prepare for negotiations, understand the tools needed for effective bargaining, learn when to walk away, and how to spot common pitfalls and biases. We will also explore issues particularly pronounced for legal practitioners, including navigating the attorney-client relationship, maintaining ethical rules, and working under the specter, or in the midst, of litigation. Through it all, this course seeks to help you identify and improve your own style of negotiation in a variety of contexts.

This is a hands-on, interactive course. Participation is critical and in-person attendance is required throughout the semester.

Instructor Bio:
Eugene Park is a Deputy Port Attorney for the Port of Oakland, primarily serving its Commercial Real Estate and Aviation Divisions. He has sat on all sides of the bargaining table on a diverse range of matters, including civil litigation, commercial contracts, real property transactions, employment matters, public sector labor negotiations, intellectual property, and environmental and regulatory matters. Through it all, he has not always gotten to Yes, but has often gotten past No. Eugene is a proud UC Berkeley alum who is passionate about teaching, writing, and learning.

Special enrollment rules for this class:
1) You must purchase a license for the required role-play materials from the Bookstore. Each student who purchases a license will receive confidential role-play information directly from the instructor depending on their role in a particular negotiation. You cannot participate in the negotiation exercises without purchasing the role-play license from the Bookstore. You must purchase these materials by the end of the first week of class or be dropped from the course.

2) You must attend the first class in order to be admitted. Any student who does not attend the first class without prior permission of the instructor will be dropped from the class.

3) You must commit to remain in the course by no later than noon on Friday, January 17, 2025, the last day of the first full week of spring semester classes. Due to both the use of simulation exercises throughout the semester and the need to determine the members of the class as soon as possible, the usual provisions of "Drop/Add" do not apply.


Attendance at the first class is mandatory for all currently enrolled and waitlisted students; any currently enrolled or waitlisted students who are not present on the first day of class (without prior permission of the instructor) will be dropped. The instructor will continue to take attendance throughout the add/drop period and anyone who moves off the waitlist into the class must continue to attend or have prior permission of the instructor in order not to be dropped.
