This interactive course will prepare students for drafting business documents and contracts in an in-house counsel role. Students will draft, review, and analyze legal and business issues that arise in contracts, terms of service, and other documents. This course will focus on writing effectively and with precision, translating business terms into legal documents, and presenting legal advice in a business context. In class, students will work individually and in small groups to draft and review business documents. There will be writing assignments throughout the course.

BIO: Noga Firstenberg is an attorney with transactional and litigation experience. Noga is currently Senior Counsel at Airbnb. She is a graduate of Harvard Law School and UC Berkeley.


Attendance at the first class is mandatory for all currently enrolled and waitlisted students; any currently enrolled or waitlisted students who are not present on the first day of class (without prior permission of the instructor) will be dropped. The instructor will continue to take attendance throughout the add/drop period and anyone who moves off the waitlist into the class must continue to attend or have prior permission of the instructor in order not to be dropped.
